Terms of Service

This Terms of Service ("Agreement") is made between Solann, a company established and operating under the laws of Vietnam, ("Solann" or "We") and any individual or organization that accesses or uses our Services ("You" or "User").

This Agreement governs your use of the website http://seo.solannsoftware.com/ and all related products, services, tools and software provided by Solann (collectively referred to as "Services"). By checking the "I agree" box, registering an account or using the Services, you acknowledge that you have read, understood and agree to be bound by all terms and conditions of this Agreement.

IMPORTANT: IF YOU DO NOT AGREE TO THIS AGREEMENT, YOU ARE NOT PERMITTED TO ACCESS OR USE THE SERVICE.

1. DEFINITIONS

"Account":: Refers to the account that Users register on Solann's system to access and use the features of the Service.
"User Content":: Includes all data, text, images, keyword information, URLs, and other documents that Users upload, enter, or create during the use of the Service.
"Solann Data":: Includes all data, reports, analytics generated by the Service (e.g., ranking reports, competitor analysis) and all content on the Website, excluding User Content.
"Confidential Information":: Includes all non-public information disclosed by one party to another, including but not limited to trade secrets, technical details, algorithms, pricing information and business data.

2. SERVICE LICENSE GRANT

Subject to the terms of this Agreement, Solann grants you a limited, non-exclusive, non-transferable and revocable license to access and use the Services for your internal business purposes or personal purposes.
This license does not permit you to:
- (a) resell, sublicense or distribute the Services;
- (b) copy, modify, reverse engineer or attempt to extract the source code of the software;
- (c) use the Services to create a competing product or service.

3. USER OBLIGATIONS

You agree that you will:

Provide accurate, current and complete registration information and maintain the security of your password and Account.
Be fully responsible for User Content and all activities that occur under your Account.
Comply with all applicable laws when using the Services, including privacy and intellectual property laws.
Not use the Services for any illegal or prohibited purposes, including promoting gambling activities, pornographic content, or fraudulent websites.

4. FEES, PAYMENT AND REFUNDS

Service Fees

You agree to pay the applicable fees for the Service package you have selected. All fees will be paid in advance on a cyclical basis (monthly or annually).

Auto Renewal

Unless you cancel your subscription through your Account settings before the end of the current billing cycle, your subscription will automatically renew at the same rate.

Late Payment

We may suspend or terminate your access to the Services if payment is overdue.

Refund Policy

Solann does not provide a refund policy after the transaction has been completed. However, you may cancel your subscription at any time to avoid being charged for the next cycle.

Thuế: All fees do not include applicable taxes (e.g., VAT). You are responsible for paying all related taxes.

5. INTELLECTUAL PROPERTY RIGHTS

Solann's Rights

We own all rights, title and interest in the Services, Solann Data and all underlying technologies and software. This Agreement does not grant you any ownership rights to the Services.

User Rights

You retain ownership of User Content. You grant Solann a worldwide, royalty-free license to store, use, copy and display User Content solely for the purpose of providing and improving the Services to you.

6. CONFIDENTIALITY

Each party agrees to protect the other party's Confidential Information and not to use or disclose such information to any third party, except as required by law or to perform obligations under this Agreement.

7. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
SOLANN MAKES NO WARRANTIES, WHETHER EXPRESS OR IMPLIED, THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE AVAILABLE, UNINTERRUPTED, SECURE OR ERROR-FREE.
SOLANN DOES NOT GUARANTEE ANY SPECIFIC SEO RESULTS (e.g., achieving #1 ranking on Google). Search rankings depend on many factors beyond our control.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, in any event, Solann's total liability arising from or related to this Agreement shall not exceed the total amount you have paid for the Services in the six (6) months prior to the claim arising.

9. INDEMNIFICATION

You agree to indemnify, defend and hold harmless Solann and its directors, employees, agents from any claims, losses, liabilities, costs (including reasonable attorney fees) arising from or related to:

(a) your breach of this Agreement;
(b) User Content;
(c) your violation of any third party rights.

10. TERMINATION

Termination by User

You may terminate this Agreement at any time by canceling your Account.

Termination by Solann

We may suspend or terminate your access to the Services and this Agreement if you materially breach the terms, fail to pay fees, or engage in activities that harm the system.

11. DISPUTE RESOLUTION AND GOVERNING LAW

Governing Law

This Agreement shall be governed and interpreted in accordance with the laws of the Socialist Republic of Vietnam.

Dispute Resolution

All disputes shall first be resolved through negotiation and mediation. If unresolved within thirty (30) days, the dispute shall be submitted to the competent People's Court for resolution.

12. GENERAL TERMS

Entire Agreement

This Agreement, together with the Privacy Policy and Cookie Policy, constitutes the entire agreement between you and Solann.

Severability

If any provision of this Agreement is deemed invalid, the remaining provisions shall remain in full force and effect.

Force Majeure

Neither party shall be liable for delays or failure to perform obligations due to causes beyond their reasonable control (natural disasters, war, epidemics, etc.).

Notices

All notices to you will be sent to the email address associated with your Account or displayed on the Website.
